These Terms and Conditions of Use govern the legal relationship between you and Aquile Superior Prints across all our service channels, including our website at aqsprint.com. They should be read alongside our Customer Order and Service Policy, which governs the operational aspects of your order. In the event of any conflict between documents, these Terms prevail.
‘You’ or ‘Customer’ means any person or company engaging our services. ‘We’, ‘us’, or ‘our’ means Aquile Superior Prints. We reserve the right to update these Terms at any time. Continued use of our services after a revision constitutes acceptance.

PART A — WEBSITE AND ACCOUNTS
1. Eligibility
- By using this Site or placing an order, you confirm that you are at least 18 years old and legally capable of entering a binding agreement under Nigerian law.
- If you are acting on behalf of a company or organisation, you confirm that you have authority to bind that entity to these Terms.
- You must be 18 years of age or older to place an order or create an account on this Site.
- We reserve the right to refuse service to any person or entity at our discretion without obligation to provide a reason.

2. Use of the Website
You may use aqsprint.com only for lawful purposes. You agree not to:
- Attempt unauthorised access to our systems, accounts, databases, or servers.
- Transmit malicious code, viruses, or material that disrupts the operation of the Site.
- Reproduce, distribute, or commercially exploit any content from this Site without written permission.
- Use the Site to facilitate fraud, misrepresentation, or any unlawful commercial activity.
- Systematically harvest or scrape data from the Site without permission.
- Impersonate any person, company, or entity while using our services.

3. Account Registration and Security
- You are responsible for maintaining the confidentiality of your login credentials. All activity under your account is your responsibility.

- You must provide accurate, current, and complete information at registration and update it promptly when it changes.
- We may suspend or permanently close accounts where we suspect fraud, misuse, or where information provided is false.

PART B — INTELLECTUAL PROPERTY
4. Our Intellectual Property
All content on this Site, including the Aquile Superior Prints name, logo, brand assets, photographs, written materials, and design templates, is our intellectual property and is protected under Nigerian and applicable international law.
- You may not reproduce, adapt, distribute, or commercially use our content without prior written permission.
- Unauthorised use of our brand identity or design work may result in legal action.

5. Customer-Supplied Content and Copyright Indemnification
This is one of the most consequential sections in this document. Printing companies globally have faced lawsuits, fines, and business closures for producing items containing content they had no right to reproduce, even when the content was supplied entirely by the customer. A printer can be held jointly liable for infringement. This section protects us and, properly followed, protects you as well.
- By submitting any file, design, image, logo, photograph, text, or artwork for printing, you confirm and warrant that you own the legal right to reproduce and print that material, or have obtained all necessary licences and permissions from the rightful owner.
- We are not responsible for verifying the legal ownership or licensing status of content you supply. That responsibility rests entirely with you.
- We reserve the right to refuse to print any content we reasonably believe infringes on the intellectual property rights of a third party. This includes, but is not limited to, trademarked logos, copyrighted character artwork, licensed sports team emblems, celebrity photographs, movie stills, song lyrics, and brand identities.
- Printing any trademarked logo, brand name, or registered identity without written authorisation from the trademark owner is illegal, regardless of who provides the file. This applies equally to well-known international brands and local Nigerian brands. If you do not have documented permission from the brand owner, do not submit their logo or identity for printing.
- The fact that an image is freely available online does not mean it is free to use commercially. Most images found on the internet are protected by copyright. If you did not create an image yourself or purchase a commercial licence for it, you do not have the right to print it.
- You fully indemnify Aquile Superior Prints against any claim, lawsuit, fine, legal cost, or penalty arising from printing content you supplied that infringes on the rights of any third party.
- If a legal claim is made against us arising from your submitted content, we reserve the right to cooperate fully with any investigation and provide relevant order documentation and records to the appropriate authorities as required by law.
If you are not certain that you have the legal right to reproduce a design, do not submit it. Producing an item on your instruction does not transfer legal responsibility from you to us.

PART C — PAYMENTS, CHARGEBACKS AND FRAUD

6. Payment Obligations
- All prices are quoted in Nigerian Naira (NGN).
- Website payments are processed via Paystack. Off-website payments are made by direct bank transfer.
- We are not responsible for payment errors caused by incorrect account details entered by the customer.
- We reserve the right to cancel and flag any transaction where we have reasonable grounds to suspect fraudulent payment activity.

7. Chargebacks and Payment Disputes
A chargeback occurs when a customer disputes a completed payment with their bank or card issuer. Fraudulent chargebacks on custom-made goods represent a recognised and growing form of merchant fraud.
- By placing an order and receiving the product, you agree that filing a chargeback after confirmed delivery of a correctly produced item constitutes fraudulent misrepresentation to your financial institution.
- We maintain comprehensive records of every transaction, including payment confirmations, design approvals, production files, delivery evidence, and all customer communications. These records will be submitted in full to Paystack, the relevant bank, and if necessary, to the appropriate Nigerian authorities in response to any chargeback.
- We will contest every chargeback that is not consistent with a legitimate, documented production or delivery failure on our part.
- Filing a fraudulent chargeback on a completed custom order will result in permanent account blacklisting. We reserve the right to pursue the matter through appropriate legal channels.
Filing a chargeback to obtain a refund on a product you received and accepted is fraud. We take this seriously and will pursue it through every available channel.

PART D — LIABILITY AND RISK

8. Limitation of Liability
To the fullest extent permitted by Nigerian law, Aquile Superior Prints will not be liable for any indirect, incidental, consequential, or special loss arising from the use of our products or services, including but not limited to:
- Business losses, lost revenue, or lost profit arising from any delay or defect in an order.
- Costs incurred from a missed event, failed product launch, or postponed occasion, regardless of the cause of the delay.
- Loss arising from errors in customer-approved files, designs, or specifications.
- Loss arising from a customer’s failure to secure their account credentials.
- Loss arising from incorrect address or contact details provided by the customer.
- Loss arising from third-party courier failures, force majeure events, or any circumstance beyond our reasonable control.
Our maximum liability in any claim arising from an order is limited to the amount paid for that specific order. We will not be held liable for any amount exceeding the value of the job in question.

9. Indemnification
You agree to indemnify and hold harmless Aquile Superior Prints, its staff, contractors, and agents against any claims, losses, damages, or legal costs arising from:
- Your breach of these Terms or our Customer Order and Service Policy.
- Any content you submit for printing that infringes on the intellectual property rights of a third party.
- Any false, misleading, or inaccurate information you provide in connection with your order or account.
- Any fraudulent chargeback or payment dispute filed against a valid, completed transaction.
- Any use of our products or services that violates Nigerian law or the rights of any third party.

10. Force Majeure
We will not be held liable for failure or delay in fulfilling an order caused by circumstances beyond our reasonable control, including:
- Power outages or disruption to the national grid.
- Supplier delays or material shortages.
- Third-party courier or logistics failures.
- Natural disasters, flooding, fire, or extreme weather.
- Government restrictions, curfews, elections, civil unrest, or public emergencies.
- Fuel scarcity, road accidents, or transport blockages.
In such cases we will notify you promptly and fulfil your order at the earliest available opportunity. No refund or compensation is payable for force majeure delays.

PART E — CONDUCT, DISPUTES AND LEGAL
11. Professional Conduct
- We are committed to resolving every legitimate complaint promptly, fairly, and based on documented evidence.
- Verbal abuse, threats, intimidation, or harassment of any member of our team will not be tolerated under any circumstances and will not change the outcome of any dispute.
- Defamatory posts on social media or any public platform will not result in refunds or free reprints. All resolutions are based on order documentation, not public pressure.
- We reserve the right to pursue legal action against any person who makes false, malicious, or defamatory statements about our business.

All dispute resolutions reference: design approvals on file, payment confirmation records, delivery evidence, and the terms in this document and our Customer Order and Service Policy.

12. Dispute Escalation
- We encourage every customer to contact us directly before escalating any complaint to a third party or regulatory body. We resolve the vast majority of genuine complaints without external involvement.
- Where a dispute cannot be resolved between us, the customer may pursue resolution through appropriate legal channels available under Nigerian law.

13. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from or related to these Terms or our services shall first be addressed through direct written communication with us.
- Where a dispute cannot be resolved directly, it shall fall under the jurisdiction of the appropriate Nigerian courts in Lagos State.
- We will not submit to the jurisdiction of any court outside Nigeria in relation to disputes arising from orders placed in Nigeria.

14. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary and the remaining provisions will continue in full force and effect.

15. Entire Agreement
These Terms and Conditions of Use, together with our Customer Order and Service Policy, constitute the full and complete agreement between you and Aquile Superior Prints. They supersede all prior discussions, informal representations, and previous versions of any policy document.

19. Changes to These Terms
We may revise these Terms at any time. The updated version will be published on aqsprint.com with the revision date clearly shown. Continued use of our services after any revision constitutes your acceptance.
